EMPLOYEE STOCK PURCHASE PLAN
The Marvell Employee Stock Purchase Plan (ESPP) allows eligible employees to purchase Marvell common stock at a discounted price through payroll deductions.

Eligible Employees
Employees who work at least 20 hours per week and more than five months in a calendar year are able to participate in the plan on the first open enrollment date on or after their hire date.

Enrolling in the Plan
There are two offering periods each year (June 8 and December 8), and the enrollment window typically opens in May and November. You can choose to contribute from 1% to 15% of your base compensation each paycheck. You may decrease or stop your contributions at any time, but you may increase your contribution rate only during the enrollment period. Please see Stock Administration at
Stock Purchase Plan
The plan has an offering period of up to 24 months with purchase periods of 6 months. Marvell stock will be purchased at 85% of its fair market value on the offering period begin date (up to 24 months) in the plan or 85% of the fair market value on the purchase date, whichever is lower.
