EMPLOYEE STOCK PURCHASE PLAN
The Marvell Employee Stock Purchase Plan (ESPP) allows eligible employees to purchase Marvell common stock at a discounted price through payroll deductions.
Employees who work at least 20 hours per week and more than five months in a calendar year are able to participate in the plan on the first enrollment date on or after their hire date.

Enrolling in the Plan
There are two enrollment periods each year, typically one starting in May and the other starting in November. You can choose to contribute from 1% to 15% of your compensation each paycheck. You may decrease or stop your contributions at any time, but you may increase your contribution rate only during the enrollment period. Please see Stock Administration at
Stock Purchase Plan
Stock will be purchased at 85% of its fair market value on the date of your enrollment in the plan (this price is locked in for a period of time determined by Marvell) or 85% of the fair market value on the purchase date, whichever is lower.
